Acconto Terms of Service

These terms are an agreement between you, the Shopify merchant who installs Acconto ("you"), and Vitalcore Research Inc., doing business as Nolarine, 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("we", "us"). By installing or using Acconto ("the App") you agree to them. If you don't agree, don't install the App.
1. What the App does
The App lets you offer deposits on products in your Shopify store, records deposit orders, and collects the remaining balance from the payment method your customer saved at checkout, or sends them a payment link. Payments are processed by Shopify and its payment providers. We are not a payment processor, bank or lender, we never hold your or your customers' money, and we are not a party to your sales.
2. Your responsibilities
You are responsible for your store and your sales, including:
- Your deposit, cancellation and refund policies, publishing them in your store, and making sure customers understand when and how much they will be charged.
- Complying with the laws that apply to you, including consumer protection, deposit, pre-order, layaway, distance-selling and tax laws in every place you sell.
- Deciding when to release, fulfill, cancel or refund orders, and the amounts you refund.
- Chargebacks, disputes, failed payments and any losses from orders, including orders you ship before the balance is paid.
- Keeping the information you enter in the App accurate.
You must not use the App for instalment loans, layaway or crowdfunding where Shopify's terms don't allow it, or for anything illegal.
3. Shopify
The App runs on Shopify and depends on Shopify's services, APIs and approvals. Your use of Shopify is governed by Shopify's own terms. We are not responsible for Shopify's services, outages, decisions or changes, including changes that affect what the App can do.
4. Plans, fees and trials
- Paid plans are billed by Shopify on your Shopify invoice through Shopify's billing system. Prices are shown in the App and on our App Store listing.
- We never charge a fee or commission on your sales.
- Paid plans include a free trial as stated on the listing. Each store gets one free trial; reinstalling the App continues the same trial rather than starting a new one. You can change or cancel your plan at any time in the App; uninstalling the App cancels it.
- Fees are not refundable except where the law requires or Shopify's billing rules provide otherwise.
- We may change prices with at least 30 days' notice in the App. Changes apply from your next billing period.
5. Data and privacy
Our handling of personal information is described in the Acconto Privacy Policy. For your customers' information you are the controller and we process it on your behalf to provide the App. You are responsible for having a lawful basis to share it with us and for your own privacy notice to customers.
6. Availability and support
We work to keep the App running and to fix problems promptly, but the App is provided "as is" and "as available". We do not guarantee it will be uninterrupted or error-free, or that every balance will be collected. We provide support by email at support@nolarine.com.
7. Limitation of liability
To the fullest extent the law allows:
- We are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, data or goodwill.
- We are not liable for uncollected balances, failed or delayed charges, chargebacks, refunds, orders shipped before payment, or the acts or omissions of Shopify, payment providers or your customers.
- Our total liability for all claims relating to the App is limited to the fees you paid us for the App in the 12 months before the claim.
Some places don't allow these limits, so they may not fully apply to you.
8. Indemnity
You agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your store, your sales, your policies, your use of the App, or your breach of these terms or the law.
9. Ending the agreement
You can stop using the App at any time by uninstalling it. We may suspend or end your access if you breach these terms or misuse the App, or if we stop offering the App, with reasonable notice where possible. Sections 2, 7, 8 and 10 survive.
10. General
- Governing law: the laws of the State of Wyoming, United States, without regard to conflict of laws rules. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, unless the law gives you the right to bring proceedings elsewhere.
- We may update these terms. We will post changes here and notify you in the App; continuing to use the App after a change means you accept it.
- If any part of these terms is unenforceable, the rest still applies.
- These terms and the Privacy Policy are the whole agreement between us about the App.
